Ambassador Terms

Flagaholics (hereinafter referred to as "Company") is engaged in the promotion and sale of flags and intends to expand its reach for recognition and sales; the Sponsored Individual (hereinafter referred to as "Ambassador") is in a position of influence providing reviews and advocating for quality fashion products.

The Parties agree and acknowledge that the Ambassador shall perform promotion services in connection with Flagaholics through their own and the Company’s social media channels, including but not limited to Twitter, Facebook, Instagram, Youtube, Pinterest, among others.

Compensation Agreement

As full compensation and consideration for the full and complete performance of all the work and other obligations under this Agreement and all costs, the parties affirm that Flagaholics shall pay the agreed amounts upon the fulfillment of the responsibilities, duties, and obligations of the Ambassador according to the schedule below.

Flagaholics Brand Ambassador Terms & Conditions

Thanks for considering Flagaholics’ brand affiliate program! Our company is dedicated to providing the best products for our customers. Since we don’t know every one of our ambassadors personally, we’ve created some terms to set everybody’s expectations.

When we say “Company,” “we,” “our,” or “us” in this document, we are referring to Flagaholics.

When we say “Services,” we mean any product created and maintained by the Company.

These terms may be updated at any time in the future. We will update you via email.

Please read this document in its entirety before accepting to become a brand ambassador of Flagaholics.

ELIGIBILITY

To become an ambassador of Flagaholics, you must:

Have read, understood, and agreed to these terms.

Be in good standing with the Federal Trade Commission (FTC).

Own social media accounts.

ENGAGEMENT

As a brand ambassador of Flagaholics, you agree to:

Create, post, and share content that promotes Flagaholics’ products.

Promote your unique promo code to increase sales for Flagaholics.

RESTRICTIONS

As a brand ambassador, you agree not to:

Make any guarantees, representations, or warranties on behalf of Flagaholics, other than the ones provided in the marketing material.

Spam or promote Flagaholics in a way that violates any laws or regulations.

Promote Flagaholics in any sexually explicit, violent, political, discriminatory, unlawful, threatening, illegal, or otherwise objectionable content - subject to the sole direction of Flagaholics.

Use Flagaholics’ brand, image, or likeness on your website, creating customer confusion.

Engage in any fraudulent activity that would artificially affect any social media metrics such as, but not limited to, likes, follows, shares, and views.

Create multiple ambassador accounts or use more than one promo code.

Misrepresent or modify the price of Flagaholics’ services.

Flagaholics reserves the right to request removal or modification of any Ambassador content in its sole discretion.

DISCLOSURE

The ambassador agrees to disclose the material connection between them and Flagaholics.

The ambassador may use text such as “#sponsored” or “#ad” to disclose this relationship.

The disclosure should be clear and follow all guidelines by the Federal Trade Commission (FTC).

COMPENSATION

The ambassador must have a total commission value of over $20 USD to be paid out through PayPal. If the value is under $20 USD the balance will be carried over until valid to be paid out.

The ambassador will be paid 15% of every sale generated through their promo code.

This percentage is subject to change by Flagaholics at any time.

The ambassador is solely responsible for any and all tax obligations.

The ambassador must have a valid PayPal email linked to the portal.

Commissions are paid on the first of each calendar month. If the ambassador fails to request a payout, then their commission will be carried over to the next months payout.

INTELLECTUAL PROPERTY RIGHTS

Ambassador Content:

The ambassador grants Flagaholics a worldwide, irrevocable, sublicensable, non-exclusive license to use the content the ambassador creates to promote Flagaholics’ services, in any manner, in whole or in part, in perpetuity. This includes, but is not limited to, social media, advertising, publications, marketing material, or any other form of media.

Company Content:

Flagaholics grants the ambassador a non-exclusive, non-transferable, revocable, limited license to use Flagaholics' name, logo, slogans, promo codes, likeness, and other advertising material solely for the purpose of this ambassador agreement. Flagaholics retains all rights to their content.

TERMINATION

Flagaholics may terminate the relationship with the ambassador at any time for any reason with or without cause if or once balances are settled.

The ambassador may terminate the relationship with Flagaholics with written notice of 30 days.

NON-COMPETE

While an ambassador of Flagaholics, the ambassador may not promote or advertise competing products.

NDA

While an affiliate for Flagaholics, the affiliate may not disclose any information discussed about the business and/or its members. Failure to comply may result in both termination of the contract and legal action if deemed necessary.

LIABILITY LIMITATIONS

You expressly agree and understand that Flagaholics shall not be liable to you or any third party for any direct, indirect, consequential, or any other damages including, but not limited to, damages for loss of profit, goodwill, or other intangible losses resulting from the ambassador program.

Please ensure to review the contract with your legal counsel before finalizing and implementing it to ensure it meets all applicable laws and regulations.
